SKYHASH Service Agreement
The SkyHash Service Agreement (hereinafter referred to as "this Agreement") governs the rights and obligations established between users and BTC-Mining Fintech Australia or its designated relevant party, including but not limited to the SkyHash Website (https://www.skyhash.app), the SkyHash app owner, and its affiliated apps, offering various SkyHash services. This Agreement constitutes a legally binding contract and applies to all user activities on the SkyHash platform. By accessing and/or using this website, the user accepts and agrees to all terms and conditions of this Agreement. If you do not agree to any term of this Agreement, please discontinue the use of SkyHash services and the Website. If you purchase any product provided by SkyHash, you are also bound by the service agreement applicable to that product. SkyHash reserves the right to change or modify the terms of this Agreement at any time at its sole discretion. Users should periodically review this Agreement for the latest changes. Once the modified agreement is published, it will effectively replace the original agreement (unless otherwise specified for its effective time). By continuing to use SkyHash services after the publication of any modifications to this Agreement, users indicate acceptance and agreement to the modified terms.
**Service Content:**
SkyHash utilizes its proprietary system to deliver services and products.
**Provision, Modification, and Termination of Services:**
1. By accepting SkyHash services, users agree to receive all types of information services provided by SkyHash. Users authorize SkyHash to send business information to their email, mobile phone, mailing address, etc. Users can visit the SkyHash-related page to update their user profile.
2. Users who object to modifications in this agreement or are dissatisfied with SkyHash services may exercise the following rights: (1) Cease using SkyHash network services. (2) Request cessation of services from SkyHash via customer service channels. Upon termination of service, the user's right to use SkyHash Network Service is immediately terminated. SkyHash is not obligated to transmit any unprocessed information or incomplete services to the user or any third party not directly involved.
3. Once a user purchases a product or service on the platform, SkyHash reserves the right to refuse refunds at its discretion.
**User Registration**
1. You represent and warrant to SkyHash the following, which will be deemed repeated each time you use the services provided by SkyHash:
- If you are a natural person: you are at least 18 years old and have full legal capacity.
- If you are an entity: you are duly organized and validly existing under the laws of your jurisdiction of organization or incorporation, and in good standing under such laws if relevant.
- Your use of SkyHash services complies with applicable laws and regulations in your country / region, and does not violate any obligations to third parties.
- You have the necessary authority to use SkyHash services and fulfill your obligations. The Agreement and any corresponding purchase order(s) are valid and binding upon you.
2. Regarding user registration data, you agree to:
- Provide legal, true, accurate, and detailed personal or entity information.
- Update your information promptly if any changes occur. If the registration information provided is illegal, untrue, inaccurate, or incomplete, you accept corresponding responsibilities and consequences. SkyHash reserves the right to terminate service usage.
- Obtain express written consent from SkyHash before registering more than one account.
- For compliance purposes such as KYC (know your client) and/or anti-money laundering, SkyHash may request your Personally Identifiable Information (PII) and/or financial details.
- When using certain features, you must enter your username and password. If you are unable to access your account (e.g., due to forgotten password), SkyHash may request specific information, such as proof of identity, residence, telephone number, or relevant activity information on the website (e.g., transaction IDs, order numbers, withdrawals). You agree not to share your
username and/or password or allow third-party access. SkyHash is not liable for losses resulting from improper account or password use. Notify SkyHash immediately if you suspect unauthorized account access.
**Information Confidentiality**
1. User information referred to in this agreement includes information that complies with laws, regulations, and relevant rules, and falls within the following scope:
(1) Personal information provided to SkyHash during user registration.
(2) User's browser or mobile application client data, including but not limited to IP address, website information stored in cookies, and web page request records automatically received and recorded by SkyHash during the use of SkyHash services and participation in website activities or visits to website pages.
(3) Personal information of the user legally obtained by SkyHash from business partners.
(4) Personal information of the user obtained by SkyHash through other legal channels.
2. SkyHash commits to not disclose the user's password, name, mobile phone number, and other non-public information to any third party without legal reasons or prior permission from the user.
3. The user's personal information will be disclosed in part or in full under the following statutory circumstances:
(1) Disclosure to the user or another third party with the user's consent.
(2) Disclosure to administrative or judicial authorities or other legally required third parties in accordance with laws, regulations, and other relevant provisions or requests from administrative agencies.
(3) Other disclosures in accordance with relevant laws, regulations, and provisions.
**Risk Factors**
Before purchasing any Service, you must evaluate if the Service is suitable for your financial capabilities and risk preferences. By purchasing any Service provided by SkyHash, you acknowledge that you understand and accept all associated risks. The risks listed in this Section are not exhaustive. These risks, and additional risks that may arise now or in the future, could prevent you from gaining profits, lead to financial losses, or result in termination of services provided:
1. The use of any digital asset or related product and service carries potential financial, regulatory, and other risks. Before using any digital asset or related products and services, ensure you possess sufficient knowledge and experience in blockchain technology, digital assets, and smart contracts. Your decision to participate in any digital asset activity or use related services should be based on independent study or consultation with professionals. SkyHash assumes users are professionals knowledgeable about the digital asset industry and its risks. This Agreement and SkyHash's services do not constitute investment advice.
2. The value of any product or service provided by SkyHash and the value of any digital asset may fluctuate due to factors beyond SkyHash's control, including mining difficulty, changes in mining
parameters, market price fluctuations in digital assets, hardware obsolescence, and hardware amortization.
3. Due to the volatile nature of digital assets, their value can decline rapidly and may even drop to zero. SkyHash is not liable for losses resulting from fluctuations in the market prices of digital assets.
4. Digital asset transactions may take time to confirm, and in rare cases, some transactions may never be confirmed, resulting in incomplete transactions.
5. Digital asset transactions are irreversible. If you mistakenly send digital assets to the wrong address, you may not be able to cancel the transaction or retrieve the funds.
6. SkyHash does not hold user funds. Users can purchase products and services using digital assets and "SkyHash Points". "SkyHash Points" can be bought in advance and used to pay for orders or
service fees, with no current option for refunds. Users should purchase accordingly based on their needs.
7. Losing or forgetting any PIN or password needed to access digital assets may result in permanent loss of those assets.
8. Blockchain or digital asset technology may have inherent technical defects that are not yet fully understood.
9. Different countries may introduce new laws, regulations, and policies affecting the use of digital assets.
10. SkyHash periodically maintains or upgrades its systems, which may temporarily suspend services. Unless otherwise stated, SkyHash is not liable for losses caused by such interruptions.
11. No authentication or computer security technology is entirely foolproof. Users accept all risks related to hacking or identity theft.
12. Users acknowledge that SkyHash reserves the right to communicate service-related information through official channels such as the website, emails, customer service calls, SMS,
etc. Information obtained through unofficial SkyHash channels is not endorsed by SkyHash. For queries about the authenticity of information purportedly from SkyHash, users should contact
SkyHash immediately.
**User Rights**
1. **User's Username, Password, and Security:**
- The user has the right to choose whether to become a registered user of SkyHash. Upon choosing to register, the user can create an account. The naming and usage of the account must
comply with relevant laws, regulations, and ethical standards. The account must not contain insults, threats, obscenities, hatred, or infringe upon the legitimate rights and interests of others.
- Once registered, the user will receive an account (either mobile phone number or email address) and password. The user is responsible for all activities and events that occur after
logging in with this account and password. Any legal liabilities arising directly or indirectly from improper language or actions using the account shall be borne by the user.
- In case of password loss, the user can reset it by requesting a reset email sent to the registered email address.
2. **Participation in Activities:**
- The user has the right to participate in various online and offline activities provided by SkyHash.
3. **Access to Services:**
- The user has the right to access other services provided by SkyHash according to the platform’s rules.
4. **SkyHash Commitment:**
- After purchasing SkyHash service products, if SkyHash is unable to provide service due to platform issues, an alternative solution will be provided to users. Failure to provide service will result in compensation negotiated separately by both parties.
**User Restrictions and Obligations**
1. **Prohibited Uses:**
- Users must not use this site to endanger national security, disclose national secrets, infringe upon the legitimate rights and interests of the state, social collectives, or citizens. Prohibited actions include:
- Inciting resistance against the Constitution, laws, and administrative regulations.
- Inciting subversion of state power or overthrowing the Socialist System.
- Inciting secession or undermining national unity.
- Promoting national hatred, ethnic discrimination, or disturbing social order.
- Spreading rumors, promoting superstition, obscenity, pornography, gambling, violence, murder, terrorism, or other illegal activities.
- Insulting others, fabricating facts, or engaging in hostile behaviors.
- Harming the credibility of state organs or violating the Constitution, laws, and administrative regulations.
- Conducting commercial advertising.
2. **Account Usage:**
- Users must not maliciously register SkyHash accounts for profit, speculation, cashing, or awards, nor steal other users' accounts. Violations may result in immediate suspension or termination of services and legal actions as permitted by laws and regulations.
3. **Security Responsibilities:**
- Users are obligated to securely maintain their SkyHash account, password, SMS verification code, and Google verification code. The user assumes full responsibility for any legal
consequences resulting from username, password, or Google Key leakage. The platform is not liable for property loss due to user information leakage.
4. **Illegal Activities:**
- Users must not engage in any form of illegal activities using SkyHash as a platform or medium. Commercial activities using information/data from the website require prior written authorization
from SkyHash.
5. **Compliance with Laws and Regulations:**
- Users agree to comply with all applicable laws, regulations, this Agreement, and SkyHash’s rules and policies regarding website and service usage. Usage prohibited by local laws and
regulations is strictly forbidden.
6. **Financial Responsibilities:**
- Users are responsible for taxes, hardware, software, service fees, or other costs incurred while using the service.
7. **Personal Use:**
- Users agree that services provided by SkyHash are solely for personal benefit and not on behalf of others or for third-party benefits.
8. **Fraud Reporting:**
- Users agree to report any fraud or misconduct by third parties using SkyHash services immediately.
9. **Website Security:**
- Users must refrain from activities that may compromise SkyHash services or website security.
10. **Internet Traffic and IP Address:**
- Users must not use methods such as proxies, Tor, VPNs, or other services to block Internet traffic or hide their real IP address.
11. **Intellectual Property Rights:**
- Users must respect the intellectual property rights of content displayed on the SkyHash website unless otherwise specified.
12. **Non-Negative Impact Warranty:**
- Users warrant that their use of SkyHash services will not harm SkyHash’s reputation or result in legal responsibilities, penalties, fines, or sanctions.
13. **Account Closure:**
- Users may close their account at any time but remain obligated to fulfill pending transactions and cover costs incurred before closure.
14. **Restricted Persons:**
- Users acknowledge that SkyHash services are not available to Restricted Persons, including residents of specified countries, entities under trade sanctions, or those restricted under
SkyHash’s compliance policies. Use by Restricted Persons assumes all legal risks and liabilities.
**Liability for Breach of Agreement**
1. In the event of any User violation of this Agreement (including but not limited to failure to timely pay the Plan Fee, or illegal use of SkyHash services in the User's country/region), SkyHash
reserves the right to immediately suspend or terminate services provided to the User. SkyHash may also pursue all necessary legal actions within the limits permitted by applicable laws and
regulations, including holding the User liable for any losses incurred by SkyHash.
2. If SkyHash reasonably suspects that the User is using SkyHash services in an illegal, fraudulent, or otherwise improper manner, SkyHash has the right to suspend service provision
until the User satisfactorily proves compliance to SkyHash. We are not liable for any losses resulting from account suspension or termination.
**Disclaimer**
1. The limitation of SkyHash's liability for its products is subject to the service agreement of each product. In the absence of a specific agreement, SkyHash's total responsibility to the User shall
not exceed the total fee paid by the User to SkyHash.
2. Due to the unique nature of the Internet, SkyHash does not guarantee uninterrupted service, nor does it guarantee the timeliness and security of its services. SkyHash shall not be held liable
for service interruptions or terminations resulting from circumstances beyond its control, including but not limited to war (declared or undeclared), terrorist activities, acts of sabotage, blockade,
natural disasters, government actions, epidemics, or regulatory and administrative delays. In cases of force majeure, SkyHash will make reasonable efforts to minimize disruptions and losses
but assumes no liability for losses or damages caused by or incidental to such events.
3. SkyHash is not responsible for the failure to save, modify, delete, or store user-published information.
4. Unless specifically agreed to in writing by SkyHash, the accuracy, completeness, and reliability of information obtained from the Website (including via links, connections, or downloads) such as
advertising, etc., are not guaranteed. SkyHash bears no responsibility for any products, services, information, or materials acquired by users based on information from this website. Users are
solely responsible for the risks associated with using information from this website.
5. All notices from SkyHash to users will be communicated through formal announcements on the website, station letters, emails, customer service calls, mobile text messages, or regular mail.
SkyHash assumes no legal responsibility for activities or information (such as winnings or offers) obtained through unofficial SkyHash channels. If you have doubts about the authenticity of
information claiming to be from SkyHash, please contact us immediately.
6. The User agrees and acknowledges that SkyHash shall not be liable under any circumstances for the following events and any losses incurred thereby:
- Loss of trading profits.
- Damage or loss of information/data not caused by SkyHash's intentional misconduct.
- Withdrawal of products/services from the market.
- Changes in laws, regulations, and policy factors.
- User restrictions due to SkyHash’s compliance obligations and/or internal risk control policies based on User-provided information (including Personally Identifiable Information, financial
information, and digital asset wallet addresses).
- Losses caused by the User's actions or violations of this Agreement (including provision of inaccurate information to SkyHash, password leakage to third parties, etc.).
- Other events beyond SkyHash's control.
7. You agree and accept that, without prejudice to any other rights of recovery or indemnification set forth in this Agreement, you will indemnify and defend SkyHash against any loss, liability,
claim, action, suit, or expense (collectively, "Losses," including reasonable attorney’s fees) arising from or related to your breach of this Agreement. In no event shall SkyHash, its affiliates, or any of
their officers, directors, agents, employees, or representatives, be liable to you or any third party for any special, incidental, indirect, or consequential damages or for loss of profits arising out of
or in connection with this Agreement.
**Miscellaneous**
1. Waiver: No delay or omission in exercising any right or power arising from User default shall impair SkyHash's exercise of any right or power, nor shall it be construed as a waiver of any
default or acquiescence therein.
2. Severability: Should any provision of this Agreement be deemed illegal or unenforceable, such determination shall not affect the validity of the remaining provisions of this Agreement.
3. Governing Law: This Agreement shall be governed by the laws of Singapore, without regard to conflicts of law principles.
4. Conflict Resolution: This Agreement constitutes a vital legal document between the Company and the User registered as a Company user, utilizing the Company's services. In case of any
inconsistency between this Agreement and any other written or verbal understanding of the Company or the User, this Agreement shall prevail.
5. Dispute Resolution: Before initiating any dispute or claim, you agree to contact us at
[email protected] to attempt to resolve the dispute informally. The Parties agree to negotiate andresolve any disputes in good faith, keeping such negotiations confidential and protected under applicable rules, without using them as evidence in any proceeding. If negotiations fail, either
party may submit the dispute to the Singapore International Arbitration Centre for arbitration, which shall be conducted in accordance with the Arbitration Rules of the Singapore International
Arbitration Centre then in effect. The arbitral award shall be final and binding on both parties. Unless otherwise determined by the arbitral award, arbitration costs shall be borne by the losing
party, including the legal fees and expenses of the prevailing party.
